The rules for using SMRTN, written to be read. The short version: use SMRTN for its purpose, share only what you’re allowed to, respect the people you meet through it, and make your own buying decisions.
1. The agreement
These terms are an agreement between you and AWSM LABS LLC (“AWSM LABS”, “we”, “us”), which runs SMRTN. They cover smrtn.ai, the SMRTN platform, the pitches@smrtn.ai forwarding address, our emails, and SMRTN GTHRNGS, our gatherings (together, “SMRTN”).
By signing up, confirming an account, forwarding an email to us, or otherwise using SMRTN, you agree to these terms and to our Privacy Policy. If you use SMRTN for a company, you confirm you’re allowed to accept these terms for it, and “you” includes that company.
If you have a signed order form or other written agreement with us (for example, a paid membership, startup plan, or SMRTN DPLY), that agreement governs where it differs from these terms.
2. What SMRTN is
SMRTN helps enterprise teams find, evaluate, and adopt AI solutions, and helps AI companies reach the buyers who need them. It includes matching, the Pitchbox, updates, Gatherings, and related tools. We’re continually improving SMRTN, so features may change, and some may be labeled as early or pilot features that may change or end.
SMRTN is a business service. It isn’t intended for consumers or for anyone under 18.
3. Membership and accounts
SMRTN is a reviewed network. We decide who can join and at what level, and we may decline, pause, or end a membership, including when someone doesn’t fit the member profile for buyers or startups.
Give us accurate information, preferably your work email, and keep it up to date. One person per account.
Keep your sign-in links and account secure, and don’t share them. You’re responsible for what happens in your account. Tell us right away at smrtn@awsmlabs.ai if you think someone else has access to it.
If you become a member by forwarding an email or through an invite, your account starts unconfirmed. You accept these terms when you confirm it.
4. Fees
Membership for enterprise buyers on the Open tier is free. Paid buyer tiers, startup plans, Gathering seats, and other paid services are priced in an order form or checkout we agree with you, along with their billing, renewal, and cancellation terms. Fees are exclusive of taxes unless stated otherwise. Except as the order form says or the law requires, fees already paid aren’t refundable.
5. Forwarding emails to SMRTN
When you forward an email to pitches@smrtn.ai, you confirm that:
you received it and are allowed to share it with us for this purpose;
it doesn’t contain information you’re bound to keep confidential, legally privileged material, or sensitive personal information (such as health, financial account, or government ID details);
you’re forwarding from your own address.
We handle forwarded emails as our Privacy Policy describes. We never tell a vendor who forwarded their email.
6. Your content and our use of it
You keep ownership of what you give us: your answers, priorities, ratings, feedback, notes, and the emails you forward (“your content”). You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, and display your content to provide and improve SMRTN, as these terms and our Privacy Policy describe, for as long as we hold it.
We may create combined, de-identified information from members’ content (for example, what kinds of AI buyers are being pitched, by function) and use it to run SMRTN, decide which startups to invite, and publish insights. It will never identify you, your company, or what you forwarded.
If you send us ideas or suggestions about SMRTN, we can use them without owing you anything. Field Notes and other content you choose to make visible to members are also governed by the rules shown where you post them.
7. How to use SMRTN
Don’t:
break the law or anyone’s rights, or upload anything unlawful, harmful, or that you don’t have the right to share;
impersonate anyone, or forward or post content in someone else’s name;
use another member’s information, or anything you learn at a Gathering, for anything except the conversation it was shared for; in particular, don’t add members to mailing lists or sales sequences without their agreement;
send spam, including through invites, and don’t sell or trade invites;
scrape, copy, or bulk-download SMRTN, or use it to build a competing product or database; reverse engineer it except where the law allows;
get around access limits, probe or test our security without our written permission, or disrupt SMRTN;
try to identify buyers behind anonymous or combined information.
We may remove content or suspend access to protect members, SMRTN, or others.
8. Gatherings
Seats are limited, matched, and personal. We confirm seats; they can’t be transferred without our agreement. We may change the date, venue, format, or lineup, and will tell you if we do.
When you confirm a seat, your name, role, and company are shared with that session’s attendees. What’s said in the room stays there: you may use what you learn, but don’t attribute it to a person or company without their permission, and don’t record without everyone’s consent.
Be respectful. We may ask anyone who isn’t to leave and decline future invitations.
9. Additional terms for startups and vendors
Membership and payment never affect how you’re matched, rated, or shown, and we recommend non-member companies when they fit a buyer better.
Buyer information you receive (anonymous interest, feedback themes, signals, or details a buyer chooses to share) may be used only to serve that buyer and to improve your product, as your plan allows. Don’t try to identify anonymous buyers, and don’t share buyer information with others.
You can’t edit, hide, or pay to remove buyer feedback or Field Notes about you.
You confirm that what you tell us and buyers about your company and product is accurate. We use your logo or name in our marketing only with your consent.
10. Matches, scores, and AI-generated content
Matches, fit scores, summaries, integration estimates, and other insights in SMRTN are produced with the help of AI and reviewed by our team. They are informational, can be incomplete or wrong, and aren’t legal, security, financial, or procurement advice. A match isn’t an endorsement or a guarantee. Do your own diligence: decisions to buy, pilot, or use a product are yours, and third-party products are provided under their own terms by their providers, not by us.
11. Our property
SMRTN, including its software, design, content, and the catalog of AI companies, belongs to AWSM LABS or its licensors. SMRTN, GTHRNGS, and AWSM LABS are our trademarks. We give you a limited, non-transferable right to use SMRTN under these terms; we keep all other rights.
12. Other services and links
SMRTN may link to or connect with services we don’t control, such as a vendor’s website or your CRM. Your use of them is governed by their terms, and we aren’t responsible for them.
13. Disclaimers
SMRTN is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement, and we don’t promise SMRTN will be uninterrupted, error-free, or that any match or introduction will lead to a result.
14. Limits on liability
To the extent the law allows, neither AWSM LABS nor its members, managers, employees, or suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from SMRTN or these terms, even if told they were possible.
Our total liability for all claims relating to SMRTN or these terms is limited to the greater of the fees you paid us for SMRTN in the 12 months before the claim arose, or US$100.
Some places don’t allow these limits, so they may not all apply to you.
15. Indemnity
If you use SMRTN for a business, you’ll defend and hold AWSM LABS harmless from third-party claims, and the resulting costs, arising from your content (including emails you forward) or your breach of these terms.
16. Ending your membership
You can stop using SMRTN and close your account at any time by emailing smrtn@awsmlabs.ai. We may suspend or end your access if you breach these terms, if required by law, or if we stop offering SMRTN; where reasonable, we’ll give notice first. When your account ends, we delete your information as our Privacy Policy describes. Sections that by their nature should survive (such as fees owed, content licenses for de-identified data, disclaimers, limits on liability, indemnity, and disputes) do.
17. Governing law and disputes
These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Before filing a claim, please email us at smrtn@awsmlabs.ai so we can try to resolve it informally within 30 days.
Any dispute that isn’t resolved will be heard only in the state or federal courts located in New York County, New York, and you and we consent to those courts’ jurisdiction. Either party may seek urgent relief to protect its intellectual property or confidential information in any competent court.
18. Changes to these terms
We may update these terms. We’ll change the effective date above, and for material changes we’ll tell members by email at least 14 days before they take effect. Continuing to use SMRTN after that means you accept the new terms; if you don’t, you can close your account.
19. General
These terms, our Privacy Policy, and any order form are the whole agreement between us about SMRTN. If a part is unenforceable, the rest still applies. Not enforcing a right isn’t a waiver of it. You can’t transfer these terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets. Neither of us is responsible for delays caused by events beyond reasonable control. We’ll send notices to the email on your account; send yours to smrtn@awsmlabs.ai, or privacy@awsmlabs.ai for privacy matters.
